Chapter Governance

This Charter defines the structure, responsibilities, and authority of the ISACA Wellington Chapter Board and Sub-Committees.

 It ensures transparent governance, collaborative operations, and alignment with the ISACA Wellington Chapter and ISACA Global’s strategy and mission.

Governance Structure Overview

Board (Executive Committee)

Strategic direction, compliance, risk oversight, approval authority. Operational execution oversight and coordination across chapter functions. Made up of all Officers of the Incorporated Society. 

The Board, also known as the Executive Committee, is responsible for governance and strategic direction of the Chapter.

The Board leads or approves activities in:

  • Chapter Operations: Strategy and performance monitoring. Oversight of operations, budgets, reporting, services, privacy, and vendor management.

  • Governance & Risk: Leadership, incident response, compliance, governance, risk, and strategy.

  • Improvement: Performance management, resource optimisation, and new initiatives.

  • Culture & Communications: Member engagement, transparency, and chapter culture.

Sub-Committees

Tactical execution of events, programs, and communications. Must consist of at least two Officers of the Incorporated Society. May include broader volunteer base or subject-matter specialists as long as they are members of the Incorporated Society.

Sub-Committees are responsible for the operational delivery of specific tasks and projects aligned to strategic goals and as per their Strategy on a Page. They are overseen by and report to the Board.

Cross-Functional Alignment

Collaboration across functions is essential to deliver value to members and maintain governance standards. The chapter functions are aligned with the ISACA Chapter 360 Framework and a maturity self-assessment is completed by the Board annually.
