2024-2025 ISACA Foundation Governance and Nominating Committee

The purpose of the Governance and Nominating Committee (the “Committee”) is to (1) evaluate and recommend to the Board of Directors (the “Board”) of ISACA Foundation (the “Foundation”) changes to the corporate governance practices applicable to the Foundation; (2) provide oversight of the quality and integrity of the Foundation, including, but not limited to, the Company’s finances, ethics, and risk management; (3) appraise the framework for assessment of Board performance and the Board self-evaluation; (4) identify, inrerview and evaluate proposed nominees for appointment to the Board; and (5) to act on behalf of the Board with respect to the affairs of the Foundation when an urgent response is required, and it is impossible or impractical to convene a meeting of the full Board.
