Overview
Purpose and Mission:
- Responsible for the ongoing maintenance and review of the chapter bylaws.
- Ensure all chapter practices, actions, and operating procedures comply with the Association's bylaws and applicable local, state, or country laws.
- Examine consistency between proposed changes and existing provisions within the bylaws.
Key Responsibilities:
- Annual Review: Conduct a periodic, ideally annual, comparison of chapter practices against the adopted bylaws to identify necessary updates.
- Amendment Process: Expedite the process of changing the bylaws in accordance with the established article on amendments (e.g., Article XI or XII), assuring all changes conform to legal requirements.
- Drafting Wording: Suggest precise wording for proposed changes to be submitted to the Chapter Board.
- Liaison with Global: Ensure all bylaw amendments are approved by the ISACA Global prior to being submitted for a vote by chapter membership.
Structure and Composition
The Bylaws Committee reports to the Chapter Board and the Chairperson is appointed by the Chapter President. Members consist of Chapter Board members or volunteers approved by the President.
Operating Procedures
- Bylaw amendments are approved by the Chapter Board and proposed changes are posted on the Chapter website to review. Proposed changes to the Bylaws are voted on during the annual Chapter election.
- Maintain a current version of the bylaws and ensure they are easily accessible to members.
- Work with the Secretary to keep records of historical amendments.
Goals
- Ensure that bylaws do not become obsolete, inadequate, or incorrect.
- Ensure that no act of the Chapter Board conflicts with actions taken by the chapter membership.
